MerchRescue Terms of Service

1.Company Information

The MerchRescue service is operated by Vital Gear LLC, a Texas limited liability company. References to "MerchRescue," "we," "us," or "our" refer to Vital Gear LLC.

2.The Service

MerchRescue provides automated website and data analysis tools designed to identify potential compliance, structural, or technical issues on websites and related inputs provided by users.

The service may include:

• Crawling publicly accessible webpages submitted by users
• Analyzing URLs and uploaded files such as CSVs
• Generating audit reports and summaries
• Storing audit results for a limited period of time

Audit data is stored for a limited duration, generally between 7 and 21 days depending on system constraints, after which it may be deleted without notice.

3.No Guarantees or Professional Advice

MerchRescue provides informational and analytical tools only.

We do not guarantee:

• Approval, reinstatement, or eligibility for any third-party platform
• Accuracy, completeness, or suitability of audit results
• Any specific business outcome or performance improvement

The service does not constitute legal, compliance, advertising, or professional advice. You are solely responsible for how you interpret and use the results.

4.Eligibility and Accounts

You must be at least 18 years old to use the service.

You must create an account to access paid features. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity conducted through your account
• Ensuring that information you provide is accurate and current

We may suspend or terminate accounts that violate these Terms.

5.Credits, Payments, and Refunds

MerchRescue operates on a pay-per-audit credit model.

Credits:

• Are generally non-refundable once purchased
• Have no cash value
• May expire if specified at purchase

Refunds or credit adjustments may be issued at our discretion in cases such as service errors, technical issues, or other circumstances we determine appropriate. Nothing in these Terms creates an obligation to issue refunds or credits.

All fees are charged in advance. Taxes may apply.

We reserve the right to change pricing or credit requirements at any time, but changes will not affect credits already purchased.

6.User Content and Permissions

You retain ownership of all URLs, files, and data you submit.

By using the service, you grant MerchRescue a limited, non-exclusive license to:

• Access, crawl, process, and analyze submitted data
• Store results temporarily for service operation
• Improve internal systems and performance using aggregated, anonymized data

You represent that you have the legal right to submit all content and URLs provided and that doing so does not violate any law or third-party rights.

7.Prohibited Use

You agree not to:

• Use the service to crawl websites you do not have permission to analyze
• Attempt to bypass rate limits, safeguards, or access controls
• Reverse engineer or copy the service
• Use the service for unlawful or abusive purposes
• Interfere with system integrity or performance

We may suspend or terminate access for violations.

8.Data Retention and Privacy

Personal information such as name, email, and phone number is collected and processed in accordance with our Privacy Policy.

Audit data is stored temporarily and deleted according to internal retention limits. We are not responsible for retaining copies beyond that period.

9.Service Availability

The service is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted or error-free operation and may modify, suspend, or discontinue any part of the service at any time.

10.Disclaimer of Warranties

To the maximum extent permitted by law, MerchRescue disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11.Limitation of Liability

To the maximum extent permitted by law:

• MerchRescue shall not be liable for indirect, incidental, special, or consequential damages
• Total liability shall not exceed the amount paid by you to MerchRescue in the 12 months preceding the claim

12.Indemnification

You agree to indemnify and hold harmless MerchRescue from claims arising out of:

• Your use of the service
• Content or data you submit
• Violation of these Terms or applicable laws

13.Termination

You may stop using the service at any time.

We may suspend or terminate access immediately if we believe you have violated these Terms or pose a risk to the service.

Termination does not entitle you to refunds of unused credits.

14.Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the service shall be resolved by binding arbitration under the rules of the American Arbitration Association.

You waive the right to participate in class actions or class-wide arbitration.

15.Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

16.Changes to Terms

We may update these Terms from time to time. Continued use of the service after changes become effective constitutes acceptance of the updated Terms.
